These Terms of Service (“Terms”) govern your use of VectorX DB’s websites, APIs, and services (“Services”). By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

1. Eligibility & Acceptance

• You must be at least 18 years old to use the Services.
• By creating an account or using the Services, you enter into a binding agreement with LaunchX Labs (VectorX DB).

2. Services Provided

• VectorX DB offers a managed vector database platform for GenAI, RAG, and AI workloads.
• Features may be in beta and subject to change, suspension, or discontinuation.
• We may update or improve the Services at any time.

3. Accounts & Responsibilities

• You must provide accurate registration information.
• You are responsible for maintaining the confidentiality of your credentials.
• You are responsible for activity occurring under your account.

4. Use of Services

• We grant you a limited, non-exclusive, revocable license to use the Services.
• You may not:
  • Reverse engineer, decompile, or disassemble the Services.
  • Circumvent limits, quotas, or security measures.
  • Use the Services for unlawful purposes or in violation of applicable laws.

5. Data Ownership & Privacy

• You retain ownership of all vector data, embeddings, and metadata uploaded to the Services.
• By using the Services, you grant VectorX DB a license to process your data solely to provide and improve the Services.
• Data is handled according to our Privacy Policy, including retention and deletion timelines.

6. Data Retention & Deletion

• Account data is retained while active and for 180 days after deletion.
• Vector data is deleted within 180 days of account closure unless legally required to retain it.
• Logs are retained for 12 months; billing records for 7 years.
• You may request deletion of your data via support@vectorxdb.ai.

7. Payment & Billing

• Certain features require a paid subscription.
• Fees are billed monthly in advance and are non-refundable except as required by law.
• Pricing and billing practices are described on vectorxdb.ai/pricing.

8. Service Availability

• During beta, the Services are provided without service-level guarantees.
• Once generally available, SLAs may apply for uptime and support response times.

9. Compliance & Export Controls

• You must comply with all applicable laws, including data protection, export controls, and sanctions.
• You may not use the Services if prohibited by law in your jurisdiction.

10. Termination

• You may terminate your account at any time.
• We may suspend or terminate accounts for breach of these Terms, misuse, or non-payment.
• Upon termination, your data will be deleted within 30–180 days, consistent with our Privacy Policy.

11. Disclaimers

• The Services are provided “AS IS” without warranties of any kind.
• We do not guarantee uninterrupted, error-free operation or that data will always be retrievable.

12. Limitation of Liability

• To the maximum extent permitted by law, VectorX DB is not liable for indirect, incidental, or consequential damages.
• Our aggregate liability in any claim shall not exceed the total fees you paid in the 12 months before the claim.

13. Indemnification

• You agree to indemnify and hold VectorX DB harmless from claims, damages, or expenses arising from your misuse of the Services or violation of these Terms.

14. Governing Law & Dispute Resolution

• These Terms are governed by the laws of India.
• Disputes will first be addressed by good-faith negotiation. If unresolved, they shall be settled by binding arbitration in Bengaluru, Karnataka.

15. Modifications

• We may update these Terms periodically.
• We will notify you of material changes through email or platform notifications.
• Continued use after updates constitutes acceptance.
